Michael H. Hoffman is a trusted adviser and business lawyer with 22 years of mult-disciplinary experience in corporate, securities, real estate, entertainment, tax, estate planning and finance law. Michael has a proven track record of bringing companies public and maintaining their compliance with federal and state securities laws having taken 20 companies public since 1995. Michael thoroughly researches the businesses that he counsels and listens to his clients to provide them with effective solutions to meet their needs. Michael has extensive contacts with bankers, venture capitalists, alternative investment capital providers and broker-dealers.
Michael represents entrepreneurs, start-ups, mid-size and large cap publicly traded and privately owned companies, REITs, banks, venture capital firms, hedge funds, family offices, non-profits and entertainers in a variety of industries including computers, semiconductors, software, marine, aviation, banking, real estate, entertainment, biotech, life sciences, medical devices, health care, medical billing, telecommunications, cruise lines, hotels, music, e-publishing, mobile apps, fantasy sports, jewelry, manufacturing and environmental services.
Michael has practiced law with several prestigious law firms, including Law Offices of Michael H. Hoffman, P.A. (June 2003 – December 2015), Shutts & Bowen (May 1999 – June 2001), Baker & McKenzie (June 1996 – May 1999), Gordon, Feinblatt, Rothmans, Hoffberger & Hollander (April 1995 – June 1996) and Freer & Alagia (September 1993 –June 1996).
From June 2001 to June 2003, Michael served as general partner, in-house counsel and chief financial officer for MK Global Ventures, a mid-size venture capital firm in Palo Alto, California. Michael managed four funds with approximately $300 million in investments in 15 technology and life science companies.
Since November 2012, Michael has served on the Board of Directors of the Nova Southeastern University’s Community Development District for its Broward County, Florida campus, and is an appointed local government official.
Since September 2014, Michael has served on the Board of Directors and as general counsel for Nu Deco Ensemble, a highly acclaimed 21 st century symphony orchestra and music education outreach program, which is the orchestra in residence at The Light Box in Miami’s Wynwood District.
Michael graduated with a BSM from Tulane University’s A.B. Freeman School of Business in May 1990, and earned a Juris Doctor from Tulane Law School in May 1993. During his seven years in New Orleans, Michael was involved in community service programs and non-profits, a nationally recognized speakers symposium and served as the Chapter President of Beta Alpha Psi, the accounting honor society.
